Agreement to Terms

By accessing and using Unloked Digital's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Services Description

Unloked Digital provides digital marketing services including but not limited to:

• Digital marketing strategy and consulting
• Search engine optimization (SEO)
• Pay-per-click advertising (PPC)
• Social media marketing
• Content marketing and creation
• Website design and development
• Analytics and reporting

Client Responsibilities

As our client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Respond promptly to requests for feedback and approvals
• Ensure all content provided complies with applicable laws and regulations
• Make timely payments according to agreed terms
• Maintain confidentiality of any proprietary information shared

Payment Terms

Payment terms will be specified in individual service agreements. General terms include:

• Invoices are due within 30 days of issue unless otherwise specified
• Late payments may incur additional fees
• Services may be suspended for overdue accounts
• All fees are non-refundable unless explicitly stated

Intellectual Property

Intellectual property rights are handled as follows:

• Client retains ownership of their brand, logos, and existing content
• Unloked Digital retains rights to methodologies, processes, and tools
• Work product created specifically for the client becomes client property upon full payment
• Unloked Digital may use anonymized case studies for marketing purposes

Confidentiality

We respect the confidentiality of our clients' information. Both parties agree to maintain confidentiality of proprietary information shared during the course of our business relationship. This obligation continues beyond the termination of services.

Service Level and Performance

While we strive to deliver exceptional results, we cannot guarantee specific outcomes such as:

• Specific search engine rankings
• Guaranteed traffic or conversion increases
• Social media follower growth numbers
• Specific return on investment (ROI)

Digital marketing results depend on many factors beyond our control, including market conditions, competition, and platform algorithm changes.

Limitation of Liability

Unloked Digital's liability for any claims arising from our services shall not exceed the total amount paid by the client for services in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost profits or business interruption.

Termination

Either party may terminate services with written notice:

• 30 days notice for ongoing monthly services
• Immediate termination for breach of contract
• Client remains responsible for payment of services rendered
• All deliverables completed prior to termination remain client property

Third-Party Services

Our services may involve third-party platforms and tools (Google Ads, Facebook, analytics tools, etc.). We are not responsible for changes to third-party terms, policies, or functionality that may affect service delivery.

Force Majeure

Neither party shall be liable for any delay or failure to perform due to circumstances beyond their reasonable control, including natural disasters, government actions, or technical failures of third-party services.

Governing Law

These terms shall be governed by and construed in accordance with applicable local laws. Any disputes shall be resolved through good faith negotiation or binding arbitration.

Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated to existing clients with reasonable notice. Continued use of our services constitutes acceptance of modified terms.
